Basil ERP — Terms of Use

1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Basil ERP ("Basil", "we", "us", "our"), the operator of the retail management software platform accessible at basil.ind.in.
By registering for an account, starting a free trial, accessing the platform, or using any Basil service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Basil platform.
2. Description of Service
Basil is a cloud-based retail business management SaaS (Software as a Service) platform designed for retail shop owners in India. The platform provides:
- Inventory and stock management with real-time tracking
- Point-of-sale billing and invoice generation
- Cost-plus markup pricing management
- Sales reports, profit tracking, and business analytics dashboards
- Low-stock alerts and reorder management
- GST-compliant billing and basic tax reporting (where applicable)
- Multi-device access via web browser and mobile application
Basil reserves the right to add, modify, or remove features from the platform at any time. We will endeavour to notify users of significant feature changes with reasonable advance notice.
3. Accounts and Registration
3.1 Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under Indian law to create a Basil account.
3.2 Account Creation
You agree to provide accurate, complete, and current information during registration. You are responsible for maintaining the accuracy of this information and updating it promptly when it changes. Providing false information constitutes a breach of these Terms and may result in immediate account termination.
3.3 Account Security
- You are solely responsible for maintaining the confidentiality of your login credentials (username and password).
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at support@basil.ind.in if you suspect unauthorised access to your account.
- Basil will not be liable for any loss resulting from unauthorised use of your account that occurs through no fault of our own.
- You must not share your login credentials with any person outside your authorised business.
3.4 One Account Per Business
Each subscription covers one business entity at one primary location unless a multi-location plan has been explicitly purchased. Using a single account across multiple unrelated businesses or locations without an appropriate subscription is a breach of these Terms.
4. Free Trial
Basil offers a 14-day free trial to new users. The following conditions apply:
- The free trial is available to new users only. Existing users who have previously held a subscription are not eligible.
- No payment information is required to start a free trial.
- All features available in the paid plan are accessible during the trial period.
- Data entered during the trial period is preserved when you convert to a paid subscription.
- If you do not subscribe at the end of the trial, your account will be deactivated. Your data will be retained for 30 days after trial expiry, after which it may be permanently deleted.
- Basil reserves the right to modify or discontinue the free trial offer at any time without notice.
5. Subscriptions and Payment
Basil offers subscription plans on a monthly and annual basis. Current pricing is available at basil.ind.in/pricing. Prices are displayed in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
Subscription fees are due in advance at the beginning of each billing cycle. Payment must be made through the approved payment methods available on the platform. All payments are processed securely through our payment gateway partners. A GST invoice will be generated for each successful payment and made available in your account dashboard.
Subscriptions renew automatically at the end of each billing cycle unless cancelled by the user at least 24 hours before the renewal date. Basil reserves the right to change subscription prices. We will notify active subscribers at least 30 days before any price increase takes effect.
6. Acceptable Use
You agree to use the Basil platform only for lawful purposes. You agree not to:
- Use the platform for any purpose that is illegal under applicable Indian law or any other applicable law.
- Input false, misleading, or fraudulent business data into the platform.
- Attempt to gain unauthorised access to any part of the platform, other user accounts, or our servers and systems.
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the platform.
- Scrape, crawl, or use automated tools to extract data from the platform without prior written permission.
- Resell, sublicense, or commercially exploit the platform or its features without a formal reseller agreement with Basil.
- Transmit any malware, viruses, or other harmful code through the platform.
- Use the platform to process data for a business entity other than the one registered under your account without authorisation.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Violation of the Acceptable Use policy may result in immediate account suspension or termination at Basil's sole discretion, without refund.
7. Intellectual Property
The Basil platform, including its software code, algorithms, design, user interface, logos, trademarks, and all content created by Basil, is the exclusive intellectual property of Basil ERP and is protected under applicable Indian intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business purposes during the term of your subscription. This licence does not include any right to copy, modify, distribute, sell, or sublicense the platform.
You retain full ownership of all business data you input into the Basil platform — including your product lists, pricing, sales records, and inventory data. By using Basil, you grant us a limited licence to process, store, and display this data solely for the purpose of providing you the service.
8. Confidentiality
Basil treats your business data as confidential. We will not access your specific business transaction data (sales, pricing, inventory) except for the purpose of providing technical support (and only with your consent) or as required by law.
You agree to keep confidential any non-public information about Basil's platform, pricing structures, roadmap, or technical systems that you may become aware of during your use of the service.
9. Service Availability and Uptime
Basil aims to provide a reliable and continuously available service. We target a minimum uptime of 99% measured on a monthly basis. However, we do not guarantee uninterrupted availability and the platform may be unavailable due to scheduled maintenance, unplanned technical incidents, server outages, third-party service disruptions, or force majeure events including natural disasters, government actions, or internet infrastructure failures.
Basil will not be liable for any business losses resulting from platform downtime.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Basil provides the platform on an "as is" and "as available" basis without any warranties of any kind, express or implied. Basil does not warrant that the platform will be error-free, secure, or continuously available. Basil shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of goodwill, or loss of business opportunity.
Basil's total aggregate liability to you for any claim arising out of or relating to these Terms or the platform shall not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Basil ERP, its directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the platform in violation of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party intellectual property or other rights; or (d) any content or data you submit to the platform.
12. Termination
You may cancel your subscription at any time through your account settings or by contacting support@basil.ind.in. Cancellation will take effect at the end of your current billing cycle. Basil reserves the right to suspend or terminate your account immediately and without notice if you violate these Terms, we determine that your use poses a security risk, required by law, or we decide to discontinue the platform with reasonable prior notice to users.
Upon termination, your right to access the platform ceases immediately. Your data will be retained for 30 days following termination during which you may request an export. After this period, your data may be permanently deleted.
13. Modifications to Terms
Basil may update these Terms at any time. We will notify users of material changes at least 14 days before they take effect via email or in-app notification. Your continued use of the platform after the updated Terms take effect constitutes your acceptance. If you do not agree to the updated Terms, you must cancel your subscription and discontinue use before the effective date.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If resolution through negotiation is not achieved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.
15. Miscellaneous
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Basil regarding your use of the platform. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Failure by Basil to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future. You may not assign your rights or obligations under these Terms without Basil's prior written consent. These Terms are written in English. In case of any conflict between an English version and a translated version, the English version shall prevail.
